Terms of Service

1. The agreement

These terms govern your use of the Stratus website and your Stratus subscription. Stratus is operated by Stratus Ventures LLC, an Arizona limited liability company based in Phoenix, Arizona ("Stratus", "we", "us"). By subscribing or using the site, you agree to these terms.

2. The service

Stratus is a design and engineering subscription. For a flat monthly rate you can submit unlimited requests — features, fixes, designs, and builds — which we work through one at a time from your Linear board.

Most requests are delivered within a few business days. Turnaround estimates on the site are averages, not guarantees: complex requests take longer, and we will tell you when they will.

3. Billing

Subscriptions are billed monthly in advance through Stripe. Your plan renews automatically each month until you pause or cancel.

You can pause your subscription at any time; unused days are preserved and your billing date shifts accordingly when you resume. You can cancel at any time, effective at the end of your current billing period. Because the subscription grants access to our time and capacity, payments already made are not refunded, in whole or in part.

4. Requests and delivery

Requests are worked one at a time, in the order you prioritize them on your board. A request is considered delivered when the described work is deployed, handed off, or otherwise made available to you.

Revisions to delivered work are simply new requests — add them to the board and they enter the queue like anything else.

5. Intellectual property

Once paid for, all deliverables we produce specifically for you — code, designs, documentation — are yours. We assign to you all right, title, and interest in that work.

We retain ownership of pre-existing tools, libraries, templates, and general know-how used to produce your deliverables, and grant you a perpetual, non-exclusive license to whatever of those is embedded in your deliverables.

You may not resell the Stratus service itself (for example, white-labeling our subscription to your own clients) without written agreement.

6. Your responsibilities

You are responsible for the accuracy of the materials, access, and credentials you provide, and for confirming you have the rights to anything you ask us to incorporate into your product. You will not ask us to build anything unlawful.

7. Confidentiality

We treat your non-public business information, code, and data as confidential and use them only to deliver the service. We may name you as a client and describe the general nature of the work in our portfolio unless you ask us not to in writing.

8. Warranties

The service is provided "as is". We warrant that work will be performed in a professional and workmanlike manner. Beyond that, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of the service is capped at the amount you paid us in the three months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages, including lost profits or lost data.

10. Termination

You can end the subscription at any time as described in Billing. We may suspend or terminate the service for non-payment or material breach of these terms. Sections 5 and 7 through 9 survive termination.

11. Governing law

These terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Maricopa County, Arizona.

12. Changes

We may update these terms from time to time. Material changes will be announced by email or on this page, and the date above always reflects the current version. Continuing to use the service after a change takes effect means you accept the updated terms.
